Terms of Use
Definitions
"The Company" means Equations Business Supplies Limited
"The Customer" means the person, firm or company with whom any contract is made or to whom any quotation is addressed.
Application
1. These Conditions (and the Purchase Order) shall constitute the entire Agreement between the Company and the Customer in respect of the order of stationery/furniture by the Customer and shall supersede all previous written or oral agreements, or representations.
2. No addition nor any cancellation, variation, qualification or waiver of any or all of these Conditions shall have any legal effect whatsoever unless agreed in writing and signed by the Customer and a Director of the Company.
Prices
3. Prices quoted are based on the current costs of production and at any time before delivery of the goods by the Company the Company shall be entitled to vary the price of any goods previously ordered by the Customer in order to take all or any of the following factors into account:
(i) Any change in exchange rates.
(ii) Any increase in the cost of production and/or delivery.
(iii) Any change in the rate of Value Added Tax or other similar tax or any levy chargeable.
Orders
4. Orders for the supply of goods shall be made using the
interface provided by the Company within this website.
Any item ordered not appearing in any Equations Business Supplies
Limited catalogue is deemed to be a special purchase and therefore
becomes non-returnable.
5. The prices given in any quotation by the Company are for
the quantities expressed in conjunction with them. Any variation
in quantity shall entitle the Company to vary the price of
the goods.
6. Goods will be invoiced at the price ruling at the date of despatch and prices may alter without prior notice.
Furniture Orders
7. 1/2 of the total order value, inclusive of VAT is to be
paid by the Customer when placing the order. Thereafter, 1/2
will become due 30 days following date of delivery for Equations
30 day account holders.
Furniture items are delivered flat packed for self assemnbly
and will be delivered to the UK Mainland within 7 working
days.
Confirmation of delivery date will be made by email within
48 hours.
Should you require installation we operate a nationwide installation
service and will be charged at 8% of the retail cost of the

Intellectual Property
8. The Customer shall indemnify the Company against all damages, penalties, costs and expenses to which the Company may become liable if any work done in accordance with the Customer's specification involves an infringement of a registered design, trade mark, service mark or patent or other intellectual property rights.
Delivery
9. The goods shall be delivered to such address in the United Kingdom as the Customer may specify on the order form so far as this is reasonable practicable. At any time or date named by the Company for delivery is given and intended as an estimate only and time shall not be of the essence for this purpose. The Company shall not be liable to make good any damage or loss whether arising directly or indirectly out of delay in delivery.
Deliveries are made by single-manned vehicles, unless otherwise agreed to ground floor only, assistance may be required for off-loading of furniture or any bulk items.
Acceptance
10. The Customer shall inspect the goods immediately on the arrival thereof and shall within 3 days from the date of delivery give notice in writing to the Company of any matter or thing by reason whereof he alleges that the goods are not in accordance with the contract.
If the Customer shall fail to give such notice, the goods shall be deemed to be in all respects in accordance with the contract and the buyer shall be bound to accept and pay for the same accordingly and any claim against the Company will be rendered void.
Loss or Damage in Transit
11. Any goods lost or damaged in transit will be replaced or repaired free of charge if delivery was effected throughout by an employee or agent of the Company provided always that the Customer or his nominated consignee has reported the damage or non-delivery to the Company within 7 days of delivery or within 7 days of the date of the despatch note as appropriate and time shall be of the essence.
12. The Customer shall where he has notified the Company of any defect of damage pursuant to Clause 11 or 12 above, allow the Company or its agent access to the goods to inspect any damage or defect.
Claims and Returns
13. Claims for short delivery must be notified within 3 days and claims in respect of faulty, damaged or incorrect goods must be made within 7 days of delivery. Any claims made after this date will not be entertained.
14. Goods must be contained in the original packaging.
15. The Company shall be entitled to receive a handling charge of 15% of the purchase price or the sum of £5.00 whichever is the greater in respect of goods delivered in accordance with the contract and returned by the Customer.
Retention of Title and Risk
16. Risk in the goods shall pass to the Customer on delivery.
17. All goods supplied by the Company to the Customer shall remain the sole and absolute property of the Company both in law and equity until the Customer shall have made payment to the Company for all the goods supplied under the same contract.
18. The Customer acknowledges that he is in possession of all goods supplied under the terms of these conditions solely as bailee for the Company until the Customer shall have paid the Company the invoiced prices together with the full price of any other goods supplied by the Company to the Customer pursuant to the same contract.
19. Until such time as in accordance with the above provisions the Customer becomes the owner of the goods, the Customer undertakes to keep the goods on his premises in such a manner that they are readily identifiable as the goods of the Company and further undertakes not to dispose of such goods until such time as the title in the goods passes to the Customer in accordance with the above provisions.
20. The Customer's right to possession of the goods shall cease if he does anything, or fails to do anything which would entitle a receive to take possession of any assets or which would entitle any person to present a petition for winding-up or if an individual commits an available act of bankruptcy and the Company is authorised in such circumstances to enter upon any premises where the goods are stored or where it is reasonably thought are stored for the purpose of repossessing the goods.
Payment
21. The purchase price together with any Value Added Tax shall be paid by the Customer within 30 days following delivery of the goods and payment of the purchase price in full on or before the due date shall be a condition precedent to future deliveries under the same or any other contract existing between the parties.
22. The Company shall be entitled to apportion any payment received from the Customer in order to meet such outstanding invoices, as the Company may deem appropriate.
23. If the Company is ready to deliver the goods in accordance with the contractual arrangement and a request is received from the Customer for a delay in delivery of part or all of the goods ordered for any reason whatsoever the Company shall be entitled to invoice the Customer for the full amount for which it is entitled to invoice as such time had no such delay been requested and the purchase price will become payable as if the goods had been delivered on the date of the invoice.
24. Notwithstanding the Company's right to recover the purchase price of the goods in full on the due date the Company reserves the right to charge the Customer with interest on all overdue Accounts at a monthly rate of 2.5%.
Relevant Law
25. All contracts for the sales of goods by the Company shall be construed and governed according to English Law.
Force Majeure
26. No liability is accepted by the Company for any direct or indirect loss arising from non-delivery of goods caused by Acts of God, riot or civil commotion, strike, lock-out, fire, flood, drought, Act of Government, shortages of raw materials or any other cause whatsoever beyond its control.

27.All offers are at the discretion of Equations business supplies and may be withdrawn at any time.
Free sample pack
28.Our free sample environmental pack and sample paper ream is offered to genuine business users who are considering alternative or new arrangements for the supply of office products to their company. We reserve the right not to send samples to non business addresses or non trading company's.
99p offer
29.Our 99p paper offer is made on the basis of the account you select that most suits the criteria of your business expenditure. We reserve the right to charge our standard rate for paper for any company or person who does not spend the minimum monthly amount for a given account type and yet orders the full allocation of 99p paper.
Price pledge
30.We pledge that our prices are the lowest published standard rates for these products, and should you find any identical product at a lower price not on special offer then we will match this price and refund any overpayment you may have made. Should one of our personalised prices be beaten by any published amount from a reputable company whether as a special offer or not then we will match the price and apply it to your account.
Loyalty Rebate
31.Our loyalty rebate is offered to business customers who choose equations as their main supplier for office products. We offer each client an annual rebate all equations items
Free recylce bin
32.Free recycle bin offered with special offer on shredders entitles you to one recycle bin and one heavy duty recycling bag only. To purchase further bags clcick here.
Account Benefits
33.The differing benefits for each account type are based on a minimum monthly general expenditure with equations and cannot be applied to customers who wish to only buy paper from equations. Our special rates only apply to these account customers and we reserve the right to change the customers account status should expenditure not reach the agreed levels. We also reserve the right to charge the standard rate or the difference for the price already paid for paper or any other special rate item if a customer does not meet the minimum monthly expenditure.
Efficiency Drive
34.1. Offer open to UK and Republic of Ireland residents, excluding third parties, employees and the immediate families of the promoter, its associated agencies or anyone else professionally connected with the offer.
2. Applications must include 6 Efficiency Drive Points for every fuel voucher claimed as well as a copy of the sales invoice clearly showing the promotional products used for the claim. The promoter reserves the right to disqualify incomplete, altered or fraudulent applications. No responsibility will be accepted for applications lost, delayed or damaged in the post. Proof of posting will not be accepted as proof of delivery. We recommend using a signed-for service. No correspondence will be entered into.
3. No cash alternative will be offered.
